Terms of Service

These Terms of Service ("Terms") govern your access to and use of the applications, tools, and services ("Services") provided by Forest Valley Rocky Inc ("we," "us," "our," or "Forest Valley"). This includes all applications published by Forest Valley on third-party marketplaces such as the Ecwid App Market, Shopify App Store, HubSpot Marketplace, Salesforce AppExchange, and any other platform or marketplace through which our Services are made available.

By installing, accessing, or using any of our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.

2. Eligibility

Our Services are intended for use by individuals and organizations that have the legal capacity to enter into a binding agreement. By using our Services, you represent and warrant that you have such capacity and authority.

Our Services may not be used by any individual or entity that is subject to economic or financial sanctions imposed by the United States, European Union, United Nations, or United Kingdom, including those listed on the U.S. Treasury's OFAC Specially Designated Nationals list or located in a sanctioned jurisdiction.

3. The Services

Forest Valley publishes software applications ("Apps") distributed through third-party platform marketplaces. Each App is designed to extend or enhance the functionality of the host platform for its users.

Our Apps operate within the technical environment of the host platform. They are subject to the policies and terms of those platforms in addition to these Terms. In the event of a conflict between these Terms and the policies of a host platform, the host platform's policies govern with respect to the platform itself.

4. Account Registration and Access

Access to our Apps is typically granted through the host platform's marketplace installation flow. You do not register a separate account with Forest Valley. Your access credentials and account security are managed by the host platform, and you are responsible for complying with that platform's account terms.

You are responsible for all activity that occurs under your installation of our Apps. You agree to notify us promptly at info@fv.dev if you become aware of any unauthorized use.

5. Billing and Payment

Billing for our Apps is handled exclusively through the host platform's marketplace billing system. Forest Valley does not independently collect payment information or process payments directly.

All fees, subscription terms, trial periods, refund eligibility, and payment disputes are governed by the host platform's billing policies. Please refer to the relevant platform's terms for details.

When a subscription lapses or is cancelled, existing functionality may be limited or disabled. Your data and configuration within our Apps will be retained in accordance with the retention schedule set out in our Privacy Policy (available at https://apps.fv.dev/privacy) and Regional Data Protection Policy (available at https://apps.fv.dev/rdpp), after which it may be permanently deleted. In general, app data is retained for 90 days following uninstallation to allow reactivation.

6. Data and Privacy

Our Apps are designed to operate without collecting, storing, or processing personal data belonging to you or your customers beyond what is strictly necessary to provide the App's core functionality within the host platform's environment.

Specifically:

To the extent any personal data is incidentally processed, we handle it in accordance with applicable privacy laws, including the Wyoming Data Privacy Act and, where applicable, GDPR and US state privacy laws (CCPA/CPRA and similar).

A full Privacy Policy is available at https://apps.fv.dev/privacy. A Regional Data Protection Policy, providing additional protections and rights for individuals in specific jurisdictions, is available at https://apps.fv.dev/rdpp. Both documents are incorporated into these Terms by reference.

7. Intellectual Property

Our Apps and all associated software, code, design, documentation, and materials are the intellectual property of Forest Valley Rocky Inc. Nothing in these Terms transfers ownership of any intellectual property to you.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App solely for your internal business purposes in connection with the host platform, for the duration of your active subscription or installation.

We strive to maintain reliable availability of our Apps but do not guarantee uninterrupted or error-free operation. Our Apps depend on the host platform's infrastructure, and outages or changes on the host platform may affect availability.

We may update, modify, or discontinue any App or feature at any time. We will endeavor to provide reasonable notice of material changes. Continued use of an App after changes take effect constitutes acceptance of the updated Terms.

We may amend these Terms at any time by posting an updated version at https://apps.fv.dev/terms and updating the effective date. Material changes will be communicated by email where we have your contact information, or through a notice within the App or the host platform's interface.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our Apps will be uninterrupted, error-free, or compatible with all configurations of the host platform. We are not responsible for any loss of data, revenue, or functionality arising from changes made by host platforms to their APIs, policies, or infrastructure.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FOREST VALLEY ROCKY INC AND ITS OFFICERS, DIRECTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO THE HOST PLATFORM FOR THE RELEVANT APP DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Forest Valley Rocky Inc, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or relating to your use of the Services, your breach of these Terms, or your violation of any applicable law or third-party rights.

13. Termination

You may stop using any App at any time by uninstalling it through the host platform's interface. We may suspend or terminate your access to any App immediately if you breach these Terms or if required by the host platform's policies.

Upon termination, your license to use the App ends immediately. Provisions that by their nature should survive termination — including Sections 7, 10, 11, 12, 14, and 15 — will continue to apply.

14. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved by binding arbitration administered by JAMS in Sheridan, Wyoming, United States, before a single arbitrator, in accordance with JAMS Comprehensive Arbitration Rules. Judgment on the award may be entered in any court of competent jurisdiction.

The following are not subject to arbitration: (a) disputes involving the enforcement or validity of intellectual property rights; (b) claims for injunctive or other equitable relief to prevent imminent harm.

15. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Subject to the arbitration clause above, you consent to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming for any matters not subject to arbitration.

16. General

Entire Agreement. These Terms, together with our Privacy Policy, our Regional Data Protection Policy, and any platform-specific addenda, constitute the entire agreement between you and Forest Valley Rocky Inc regarding the Services.

Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations freely.
